CodTrack Terms of Service

These terms are a contract between you (or the business you represent) and SMARK LEADERS LLC, a Wyoming (USA) limited liability company located at 30 N Gould St Ste R, Sheridan, WY 82801, USA, which operates CodTrack. By creating an account or using CodTrack, you accept these terms and our Privacy Policy. If you do not agree, do not use the service.

• Privacy Policy

CodTrack is online software (SaaS) for Cash on Delivery e-commerce sellers: order management and confirmation, store and delivery company integrations, stock and team management, and WhatsApp Business messaging. WhatsApp messaging uses Meta's WhatsApp Business Platform (Cloud API), to which CodTrack connects you as a Meta Tech Provider.

• You must be at least 18 years old and use the service for business purposes.
• The information you provide must be accurate and up to date.
• You are responsible for keeping your credentials confidential and for all activity on your account, including by your team members.
• Notify us immediately of any unauthorized use of your account.

By connecting your WhatsApp Business account to CodTrack through Meta's Embedded Signup, you authorize CodTrack to access your WhatsApp Business Account (WABA), manage your phone numbers and message templates, and send and receive messages on your behalf, as instructed by you and your team.

• You must comply with the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy and the Meta Terms.
• You must obtain your customers' opt-in before messaging them on WhatsApp, and honor any opt-out request immediately.
• You are solely responsible for the content of the messages you send and the templates you submit.
• WhatsApp conversation charges are billed by Meta at its rates, unless your plan states otherwise.
• Meta may limit, suspend or disable your WhatsApp Business Account or phone numbers at any time. CodTrack is not responsible for Meta's decisions or for outages of its services.
• You can disconnect WhatsApp from CodTrack at any time, by contacting us or from your Meta Business Manager settings (see our data deletion page).

You are the controller of your customers' data (orders, contacts, conversations) that you import or exchange through CodTrack, and you warrant that you have a legal basis to process it and share it with us. SMARK LEADERS LLC processes it as a data processor, only to provide the service to you, in accordance with our Privacy Policy.

You may not use the service to:

• Send unsolicited messages (spam) or bulk messages without consent
• Sell or promote illegal products or services, or those prohibited by the WhatsApp Commerce Policy
• Share unlawful, misleading or hateful content, or content that infringes the rights of others
• Attempt to gain unauthorized access to the service, other accounts or our systems
• Copy, resell, decompile or reverse engineer the service
• Disrupt the proper operation of the service

• Plans and prices are shown on our pricing page. Payments are processed by Stripe.
• Subscriptions renew automatically at the end of each period unless cancelled.
• You can cancel at any time; cancellation takes effect at the end of the current period.
• Unless the law requires otherwise, periods that have already started are not refunded.
• We may change our prices with advance notice; new prices apply from the next period.

CodTrack integrates with third-party services (Meta / WhatsApp, Shopify, YouCan, WooCommerce, delivery companies, Stripe). Their use is governed by their own terms. We are not responsible for their availability or operation.

CodTrack, its software, brand and content belong to SMARK LEADERS LLC. We grant you a personal, non-exclusive, non-transferable right to use it for the duration of your subscription. You keep ownership of your data.

We may suspend or close your account if you breach these terms, fail to pay, or if Meta requires it. You can close your account at any time. After closure, your data is deleted as described in our Privacy Policy and our data deletion page.

• Data deletion instructions

The service is provided "as is" and "as available". We do our best to keep it reliable, but we do not guarantee that it will be uninterrupted or error-free.

To the extent permitted by law, SMARK LEADERS LLC is not liable for indirect damages (loss of revenue, data or customers). Our total liability is limited to the amounts you paid us in the 12 months before the event giving rise to the claim.

You agree to indemnify SMARK LEADERS LLC against any claim arising from your use of the service, the content of your messages, or your breach of these terms or of Meta and WhatsApp policies.

These terms are governed by the laws of the State of Wyoming, USA. Any dispute will be brought before the competent courts of Wyoming, unless mandatory law in your country provides otherwise.

We may update these terms. The date of the last update appears at the top of this page. If we make a significant change, we will notify you by email or in the app. Continuing to use the service means you accept the updated terms.
